Terms of Service

These Terms of Service (“Terms”) outline the conditions for accessing and using the digital infrastructure, software environments, and online systems (collectively, the “Platform”) operated by Next 2 (“we,” “our,” or “the Company”).

The Platform offers AI-driven analytical, financial, and decision-support technologies (together, the “Services”).

Anyone who accesses, integrates with, or interacts with the Platform is referred to as a “User” or “you.”

Not enforcing any provision does not mean we waive our rights.

1.4 Access Restrictions and Termination

Next 2 may restrict or terminate access to the Platform, either temporarily or permanently, if:

We won’t be liable for any losses or claims that result from such actions.

1.5 External Providers and Independent Products

You acknowledge that Next 2:

does not employ, control, or represent External Providers;
does not guarantee outcomes, accuracy, legality, or performance of third-party offerings;

provides access to external materials only for functional or informational convenience.

Any dealings with External Providers are at your own risk.

1.6 Disclaimer of Liability

To the fullest extent allowed by law, you release Next 2 and its affiliates from liability arising from interactions with other Users, External Providers, or third-party systems.

This includes indirect losses, disputes, inaccuracies, technical failures, or consequential damages.

Next 2 does not manufacture, sell, or license third-party products. Its role is limited to maintaining Platform availability and core functionality.

2. User Obligations and Prohibited Activity

2.1 Restricted Actions

You agree not to, directly or indirectly:

analyse, extract, or reconstruct source code, models, or proprietary mechanisms;
use the Platform for unlawful, misleading, or harmful purposes;
copy, modify, or redistribute Platform components without permission;
interfere with authentication, encryption, or access-control systems;
deploy unauthorised automation, scraping, or manipulation tools;
access or attempt to access accounts or data belonging to others;
collect or misuse personal information without a lawful basis;
engage in conduct that degrades system performance or availability.

2.2 Standards for Submitted Materials

Any content submitted through Next 2 must:

be accurate and lawfully provided;
respect intellectual-property and privacy rights;
exclude offensive, violent, or discriminatory elements;
contain no malware, exploits, or hidden functionality;
comply with disclosure, advertising, and consumer-protection standards;
avoid excessive system load or operational disruption.

2.3 Rights Granted for User Content

By submitting content, you grant Next 2 a global, royalty-free, non-exclusive licence to store, process, adapt, display, and distribute such material as required for Platform operation and development.

Next 2 may remove or restrict content that violates these Terms, applicable law, or security standards. No compensation is owed for such actions.

2.4 Responsibility for Submissions

Users are fully responsible for all materials they provide.

Next 2 disclaims liability for damages, disputes, or claims arising from user-generated content.

3. Communications and Service Notifications

By accepting these Terms, you agree to receive informational and service-related communications from Next 2, including platform updates, feature announcements, and operational notices.

Where allowed by law, communications may also include promotional or partnership-related information relevant to Platform usage.

Non-essential messages can be declined at any time using opt-out mechanisms provided within the communication or by contacting [email protected].

Opting out does not affect delivery of essential notifications related to security, account integrity, or legal obligations.

4.3 Indemnity Obligations

You agree to defend, indemnify, and hold harmless Next 2, its affiliates, directors, officers, contractors, and representatives against any claims, liabilities, losses, or expenses (including reasonable legal fees) that come from:

content or materials you submit or distribute through the Platform;
alleged infringement of intellectual property or contractual rights;
misuse of the Platform or violation of applicable law.

These obligations stay in effect even after suspension, termination, or stopping access to the Platform.

You can't extract, duplicate, disclose, or reuse any information obtained via the Next 2 Platform without prior written permission.

Next 2 doesn't independently check the legality or source of user-supplied data. Each User is solely responsible for ensuring that all transmitted information is lawful and properly authorised.

5.3 Risk Allocation and Indemnification

Next 2 isn't liable for losses, breaches, or damages that result from user negligence, improper configuration, or unauthorised disclosure of data.

You agree to indemnify Next 2 against claims or costs that arise from improper handling, sharing, or exposure of information submitted through the Platform.

The Platform isn't designed to serve as a permanent storage or enterprise-grade archival system. Users are responsible for their own data retention and backups.

5.4 Availability and Public Exposure

Next 2 doesn't guarantee continuous availability, recoverability, or preservation of user files or communications.

Any information made publicly accessible through the Platform can be viewed or used by others, and the User is solely responsible for any resulting exposure.

6. External Resources and Independent Services

The Next 2 Platform may contain references, integrations, or links to third-party websites, applications, tools, or promotional materials that aren't operated or controlled by Next 2.

Next 2 doesn't endorse, supervise, or take responsibility for the accuracy, legality, security, or reliability of external resources.

By accessing third-party services, you acknowledge that:

engagement occurs entirely at your own discretion and risk;
external platforms are governed solely by their own terms and policies;
Next 2 isn't responsible for transactions, data practices, representations, or outcomes associated with third-party interactions.

Users are strongly advised to review applicable terms and privacy notices before engaging with any external service.

Continued use of the Next 2 Platform means you acknowledge and accept this allocation of responsibility.

7. Prohibited Activities and Misuse

Users can't contact other Users for promotional, sales, or marketing purposes without clear and documented consent.

The use of automated messaging systems, scraping tools, bots, or bulk outreach mechanisms to contact Users or collect their information is strictly prohibited.

Next 2 reserves the right to review, restrict, suspend, or terminate accounts involved in spam, harassment, or unauthorized communications, without prior notice.

8. Support Services and User Assistance

Next 2 support personnel aim to respond accurately and within a reasonable timeframe to inquiries about Platform access, functionality, or account status.

Response times may vary depending on request complexity, verification requirements, or service volume.

To help resolve issues efficiently, Users are encouraged to provide clear, complete, and accurate descriptions of reported problems.

9. Warranty Disclaimer and Liability Framework

9.1 Operational Disclaimer

Next 2 applies industry-standard technical, organisational, and security measures intended to maintain Platform availability and integrity.

However, digital systems are inherently subject to limitations and external factors.

You acknowledge that uninterrupted operation, complete accuracy, and absolute security can't be guaranteed.

Using the Platform and Services is entirely at your own risk.

All Services are provided on an “as available” and “as provided” basis.

9.2 Disclaimer of Warranties

To the fullest extent permitted by law, Next 2 disclaims all warranties of any nature, including but not limited to:

implied warranties of merchantability or suitability for a particular purpose;
guarantees regarding accuracy, completeness, or timeliness of analytics, signals, or data outputs;
assurances of non-infringement or uninterrupted availability;
warranties relating to compatibility, continuity, or performance of third-party integrations.

No statement, documentation, or communication from Next 2 shall be interpreted as creating a warranty beyond those expressly stated herein.

9.3 No Professional, Financial, or Legal Advice

Next 2 doesn't act as a broker, financial advisor, investment manager, fiduciary, or legal consultant.

All information, models, analytics, and outputs provided through the Platform are intended solely for informational and educational purposes.

Any decisions involving financial instruments, trading activity, or risk exposure are made independently by the User.

Next 2 takes no responsibility for outcomes, losses, or damages that result from reliance on Platform content or tools.

9.4 Limitation of Liability

To the maximum extent permitted by applicable law, Next 2 and its affiliates aren't liable for indirect, incidental, special, punitive, or consequential damages, including but not limited to:

loss of revenue, profits, data, or business opportunities;
service interruptions, latency, or connectivity issues;
misinterpretation or misuse of analytical outputs or third-party materials;
reliance on communications, data representations, or Platform-generated insights.

Where liability limitations are restricted by law, Next 2’s total liability shall be limited to the minimum amount permitted by applicable regulation.

10. Extended Liability Limitations

10.1 Third-Party Technologies and External Content

Next 2 does not guarantee the accuracy, reliability, legality, security, or suitability of any third-party tools, integrations, datasets, or resources made accessible through the Platform (“External Components”).

All responsibility for the operation, availability, and content of External Components rests solely with the respective third party.

Next 2 shall not be responsible for service interruptions, latency, transmission failures, software anomalies, or system malfunctions, including but not limited to:

network outages or routing failures;
corrupted or delayed data transmissions;
hardware incompatibility or device malfunction;
failures in email delivery, notifications, or third-party infrastructure.

This exclusion applies to any resulting data loss, operational disruption, or equipment damage.

Next 2 expressly disclaims liability for acts or omissions of users, external providers, hosting services, or telecommunications partners.

10.3 Limitation of Recoverable Damages

To the fullest extent permitted by applicable law, neither Next 2 nor its affiliates, officers, employees, contractors, or representatives shall be liable for indirect, incidental, consequential, exemplary, or punitive damages, regardless of foreseeability or prior notice.

This limitation applies to all claims arising from or connected with use of the Platform, including claims related to:

loss of profits, data, reputation, or commercial opportunity;

unauthorised access to, alteration of, or disclosure of information;
failures or defects in integrated third-party services.

11. User Indemnification Obligations

You agree to indemnify, defend, and hold harmless Next 2, its affiliates, executives, employees, partners, and agents against all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising from or related to:

violation of these Terms or applicable law;
improper or unauthorised use of the Platform or Services;
infringement of intellectual-property, privacy, contractual, or statutory rights;
any data, materials, or content you submit, distribute, or make available through the Platform.

These indemnification obligations survive account termination, service discontinuation, or cessation of Platform availability.

12. General Provisions

12.1 Applicable Law and Venue

These Terms are governed by the laws applicable in the User’s country or region of residence, except where mandatory local regulations require otherwise.

Any dispute arising from or relating to these Terms shall fall within the exclusive jurisdiction of competent courts located in the User’s applicable legal venue.

You expressly waive any right to participate in class actions, collective proceedings, or representative claims against Next 2, to the extent permitted by law.

12.2 Limitation Period and Severability

Any claim against Next 2 must be initiated within one (1) year from the date the underlying event occurred. Claims filed after this period are permanently barred.

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain effective.

The invalid provision shall be replaced by a lawful term that most closely reflects the original intent.

12.3 Independent Relationship

Nothing in these Terms establishes a partnership, joint venture, employment, fiduciary, or agency relationship between you and Next 2.

You have no authority to bind, represent, or act on behalf of Next 2 in any capacity.

These Terms, together with the Privacy Policy, constitute the complete and exclusive agreement governing use of the Platform and supersede all prior discussions or arrangements.

12.4 Notices and Electronic Communications

You consent to electronic delivery of such communications, which shall be deemed effective upon dispatch.

12.5 Assignment, Waiver, and Enforcement

You may not assign or transfer any rights or obligations under these Terms without prior written approval from Next 2.

Failure by Next 2 to enforce any provision shall not constitute a waiver of that provision or any future rights.

A waiver in one instance does not imply consent to subsequent violations.

Next 2 retains the right to pursue all lawful remedies, including equitable relief, in response to any breach of these Terms.
